By accepting delivery of any product delivered from commbits.com, you (“Customer”) agree to be bound by the terms and conditions listed below. You and COMMbits Inc. agree that the following terms and conditions are the exclusive terms governing the sales transaction between Customer and COMMbits Inc,. Any attempt to alter, supplement, modify or amend these terms and conditions by the Customer will be considered a material alteration of this agreement and, therefore, are null and void.

We may correct errors or inaccuracies and change or update information on this website at any time without notice, including prices and item availability. All charges will be processed in Canadian dollars. All prices listed on this site are subject to confirmation. You agree to pay all charges payable for your order. We reserve the right to limit the quantity of items that you may buy. We also reserve the right to cancel orders at our discretion.

COMMbits Inc, will use reasonable efforts to deliver items as quickly as possible, and within any time indicated. However, we are not responsible for delivery delays beyond our control. We will endeavour to notify users if delivery is delayed. All items are delivered by a third party, and delivery is governed by their shipping contracts. We reserve the right not to ship to certain addresses.

Limitation of Liability

In all circumstances, COMMbits Inc,’s’  maximum liablity is limited to the purchase price of the products sold. COMMbits Inc, shall not, under any circumstances, be liable upon a claim or action in contract, tort, indemnity or contribution, or other claims relating to the products it sells which exceeds this liability limit. This website should be accessed and used at your own risk. Though reasonable efforts have been made to ensure it is up to date and contains no inaccuracies or errors, no guarantees are made that the website’s content will be error-free, accurate, complete or current at all or any times. When a mistake is noticed, we will correct it as soon as possible and make reasonable efforts to notify affected users. This may mean that orders not yet shipped may be cancelled.

COMMbits Inc, is not responsible for lost, incomplete, illegible, misdirected or stolen messages or mail, unavailable connections, failed, incomplete, garbled, or delayed transmissions, online failures, hardware, software, or other technical malfunctions or disturbances, whether or not these circumstances affect, disrupt, or corrupt communications.

Payment Terms and Orders

An order is not binding upon commbits.com until it is accepted; COMMbits Inc, must receive payment before it will accept an order. Payment for product(s) ordered is due prior to shipment. Customer can make payment by credit card, or some other method prearranged with or available at commbits.com. You agree to pay the amount(s) due as specified on the invoice.

Shipping Charges

Your total cost for purchase of any product will include a shipping charge and applicable taxes (hardware products only).

Governing Law and Jurisdiction

Any dispute arising out of or related to these Terms and Conditions or the sales transaction between COMMbits Inc, and Customer shall be governed by the laws of the Canada, without regard to its conflicts of law rules. Specifically, the validity, interpretation, and performance of this agreement shall not be governed by the United Nations Convention on the International Sale of Goods. COMMbits Inc, and Customer consent to the exclusive jurisdiction and the venue of the Courts of Canada, to resolve any dispute between them related hereto, and the parties waive all rights to contest this exclusive jurisdiction and venue of such Courts. Finally, the Customer also agree not to bring any legal action, based upon any legal theory including contract, tort, equity or otherwise, against COMMbits Inc, that is more than one year after the date of the applicable invoice.

All textual and graphic content on this website, its organization and presentation, and the organization and domain name(s) are property of COMMbits Inc, or that of its suppliers, and are therefore copyrighted by COMMbits Inc,. The materials on this site may not be copied, reproduced, posted, or republished in any way. They may be downloaded, displayed, or printed by the user for non-commercial and lawful personal use only. Otherwise, the republication or use of these materials on any other website without prior written consent from us is prohibited, and all rights are reserved.

Transfer of Title

The customer agrees that the shipping terms for all Products are FOB shipping point and ownership transfers to the customer upon shipment. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier. For any Product that is to be provided to the customer in an electronic format, the customer agrees that delivery of such Product shall be deemed to have occurred either (a) at the time we transmit the Product via email or other electronic communication addressed to the customer or (b) at the time we transmit a notification to the customer that the Product is available for downloading from the Site.

Indemnification

You agree that you shall indemnify and defend COMMbits Inc, and all parties from whom COMMbits Inc, has licensed portions of Content, and their directors, officers, employees, associates and partners, against all claims, liability, damages, costs and expenses, including reasonable legal fees and expenses arising out of or related to (i) your breach of these Terms of Use or (ii) any suit, claim, or demand arising from or relating to any text, photograph, image, graphic or other material you incorporated into Products that was not part of the standard Site Content.

MISCELLANEOUS

If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. This is the entire agreement between the parties relating to the subject matter herein and shall not be modified except in writing, signed by both parties.

COMMbits Inc, makes no representation that materials in the site are appropriate or available for use outside Canada. Those who choose to access this site from outside Canada do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. Individuals also agree to comply with all applicable Canadian export controls.
